Terms of Service

Please read before using ForestMatters.com.

By accessing and using forestmatters.com ("the Site") or subscribing to any ForestMatters service, you agree to the following terms. If you do not agree, do not use the Site.

These Terms govern the use of ForestMatters services by business entities and their authorized representatives. ForestMatters is a business-to-business service. References to "you" or "your" refer to the subscribing business entity.

Overview

ForestMatters, LLC provides monthly tree planting subscriptions for businesses and a public partner directory. All services are provided as described on the Site and subject to these terms.

Subscription Billing

Monthly subscriptions are billed through Stripe on the same date each month. Annual subscriptions are billed as a single payment for 12 months of service at a discounted rate. Prices for each subscription tier are listed on the pricing page and may change with 30 days written notice to active subscribers. Price changes do not apply retroactively to the current billing period.

Cancellation and Refunds

You may cancel your subscription at any time through the Stripe billing portal (accessible from your dashboard). Cancellation takes effect at the end of the current billing period. You retain full access to your dashboard, badge, and partner benefits until that date.

Refund policy: No refunds are issued for partial billing periods. For annual subscriptions, cancellation takes effect at the end of the prepaid billing period. No partial refunds are issued for the remaining months of an annual term. Trees planted during paid periods cannot be "unplanted" and are non-refundable. If you believe you were charged in error, contact hello@forestmatters.com within 7 days of the charge and we will review your case.

After Cancellation

When your subscription ends (whether by cancellation or payment failure):

  1. Your business is removed from the public partner directory within 24 hours.
  2. The ForestMatters Partner badge must be removed from your website, marketing materials, and social media within 7 days. Continued use of the badge after this period constitutes trademark infringement.
  3. Dashboard access ends at the close of your last paid billing period.
  4. Your account data (business name, email, planting history) is retained in case you resubscribe. You may request immediate deletion at any time (see Data Deletion below).
  5. Trees planted during your subscription remain planted. Planting history is retained in anonymized form for aggregate reporting.

Payment Failures

If a monthly payment fails, Stripe will retry up to 3 times over approximately 3 weeks. During this grace period, your subscription remains active but your account is marked as "past due." If all retries fail, your subscription is automatically canceled. The same retry and grace period applies to annual renewal payments. We recommend keeping your payment method current to avoid service interruption. You can update your payment method at any time through the billing portal.

Tree Planting

ForestMatters facilitates tree planting through verified reforestation partners, including Ecologi and Digital Humani. By subscribing, you agree that:

  1. ForestMatters facilitates tree planting through third-party reforestation partners. We do not plant trees directly.
  2. Planting timelines vary by partner and project availability. ForestMatters does not guarantee specific planting locations, species, or survival rates.
  3. Planting records are provided for business use and do not represent carbon credits, environmental offsets, or tax-deductible donations.
  4. ForestMatters reserves the right to change reforestation partners at any time. Active subscriptions continue to receive tree planting at the committed volume regardless of which partner fulfills the order.

Partner Badge

Active subscribers receive a ForestMatters Partner badge for use on their website, marketing materials, and social media. The badge is licensed for use only while the subscription is active. Upon cancellation, the badge must be removed from all materials within 7 days. ForestMatters reserves the right to revoke badge usage for misrepresentation or misuse.

Partner Directory

Grove and Forest tier subscribers are listed in the public partner directory on the Site. Listing includes business name, industry, location, and tree planting totals. Subscribers may opt out of the directory at any time by contacting hello@forestmatters.com. Seedling tier subscribers are not listed in the directory. ForestMatters reserves the right to remove any directory listing at its sole discretion, including but not limited to businesses that misrepresent their relationship with ForestMatters, engage in illegal activity, or operate in industries incompatible with our reforestation mission.

Payment Processing

All payment processing is handled by Stripe, Inc. ForestMatters does not store credit card numbers or payment credentials. By completing a purchase, you also agree to Stripe's terms of service.

Data Deletion

You may request deletion of your account data at any time by contacting hello@forestmatters.com with the subject line "Delete My Account" or by using the account deletion feature in your dashboard. Upon requesting deletion, your account enters a 30-day recovery window. During this period, you may cancel the deletion request by signing back in. After 30 days, your data is permanently removed and your subscription is canceled. Specifically:

  1. Your Stripe subscription is canceled immediately (if still active).
  2. Your business name, email, industry, and location are permanently removed from our systems.
  3. Your listing is removed from the partner directory.
  4. Anonymized planting records (tree count, date, provider) are retained for aggregate impact reporting. These records cannot be linked back to your business.

We aim to process deletion requests within 30 days. California residents and EU residents have additional rights under CCPA and GDPR respectively (see our Privacy Policy).

Limitation of Liability

To the fullest extent permitted by applicable law, ForestMatters, LLC and its owners, officers, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages (including but not limited to lost revenue, business interruption, or loss of data) arising out of or in connection with your use of this website, any subscription service, or reliance on any information provided on this site. This limitation applies regardless of the legal theory and even if ForestMatters, LLC has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless ForestMatters, LLC, its owners, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of this website or any ForestMatters service; (b) your use of the partner badge; (c) any claims made by third parties based on your display of ForestMatters materials; or (d) your violation of these Terms.

This site contains links to external websites. ForestMatters, LLC has no control over the content, availability, or accuracy of external sites. Links are provided for convenience and do not constitute an endorsement.

Intellectual Property

All content on ForestMatters.com, including text, images, design, the partner badge, and code, is the property of ForestMatters, LLC unless otherwise noted. You may not reproduce, distribute, or republish our content without written permission, except for the partner badge as licensed under an active subscription.

Governing Law

These Terms of Service are governed by the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising from use of this Site or any ForestMatters service shall be resolved in the state or federal courts located in Oregon.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and ForestMatters, LLC regarding your use of this Site and its services.

Changes to These Terms

We may update these Terms of Service at any time. For subscription customers, material changes will be communicated via email at least 30 days before they take effect. Continued use of the Site after changes constitutes acceptance of the updated terms.
